1. Agreement to Terms
By engaging Edward A. Rhode Enterprises, LLC ("Agency", "we") for any digital marketing services, you ("Client") agree to be bound by these Terms of Service. These terms, in conjunction with a formal Statement of Work (SOW), constitute the entire agreement between the Agency and the Client.
2. Digital Marketing Service Conditions
The Agency commits to providing the services detailed in the SOW with professional expertise and diligence. The Client acknowledges that the digital marketing landscape is subject to constant change and that specific results (e.g., #1 search rankings, specific conversion rates) cannot be guaranteed. Our focus is on implementing best-practice strategies to achieve the agreed-upon business objectives.
3. Timelines
All timelines presented in proposals or the SOW are good-faith estimates. The Agency is not liable for delays caused by the Client's failure to provide timely feedback, assets, or necessary platform access. We will communicate any foreseeable delays as soon as they are identified.
4. Payment Terms
Fee structures and payment schedules will be explicitly outlined in the SOW. Payments for ongoing retainer services are due in advance of the service period. All payments made to the Agency for services rendered are non-refundable. Late payments may result in a temporary suspension of all services until the balance is settled.
5. Confidentiality
Both parties agree to treat all non-public information received from the other as confidential. This includes, but is not limited to, business strategies, campaign data, financial information, and customer lists. This obligation remains in effect even after the termination of our service agreement.
6. Legal Disclaimers & Limitation of Liability
All services are provided on an "as-is" basis. In no event shall Edward A. Rhode Enterprises, LLC be liable for any lost profits or any indirect, special, consequential, or incidental damages. The total liability of the Agency for any claim arising from this agreement shall not exceed the total fees paid by the Client to the Agency in the three (3) months immediately preceding the date of the claim.
